Terms and Conditions

ESPO International is the trading name of ESPO Trading Ltd, a company registered in England and Wales (company number 11227986) whose registered office is at ESPO, Barnsdale Way, Grove Park, Enderby, Leicester, LE19 1ES.

Orders placed on this website act as an enquiry only, which will be sent to ESPO International’s chosen distributor in the local country of the prospective customer, where one exists (please see our How to Order page for a current listing). The distributor will have the opportunity to provide a formal quotation to the customer for the goods that have been enquired about.

This quotation will provide full details of the items being purchased, prices including taxes and delivery charges, as well as any contractual information including but not limited to delivery terms, payment methods, payment terms, warranties, cancellation conditions and return conditions. The customer’s purchase and contract is directly with ESPO International’s selected distributor, and not ESPO International itself.

Any product information, pricing, or other information (as listed in the paragraph above) that is stated or implied on this website, in marketing materials, or on notification emails or text messages, is given for guidance only and should not be considered part of a purchase agreement or in any way contractual.

Product descriptions and accuracy

It is possible that items and brands supplied may vary due to availability, changes to the source of supply, or to the supplier’s specification. On occasions, goods may be discontinued for reasons beyond our control. Where a print error has occurred, we reserve the right to withdraw that item.

Liability
This clause sets out the entire financial liability of the parties (including any liability for the acts or omissions of their respective employees, agents and subcontractors) to each other for:

  • any breach of this agreement however arising;
  • any use made or resale of the Products by the Customer, or of any product incorporating any of the Products; and
  • any representation, statement or tortious act or omission (including negligence) arising under or in connection with this agreement.

Nothing in this agreement shall limit or exclude the liability of either party for:

  • death or personal injury resulting from negligence; or
  • fraud or fraudulent misrepresentation; or
  • breach of the terms implied by section 12 of the Sale of Goods Act 1979; or
  • breach of section 2 of the Consumer Protection Act 1987; or
  • any indemnity given in these terms and conditions.

Without prejudice to the above, neither party shall under any circumstances whatever be liable to the other, whether in contract, tort (including negligence) or restitution, or for breach of statutory duty or misrepresentation, or otherwise, for any:

  • loss of profit; or
  • loss of goodwill; or
  • loss of business; or
  • loss of business opportunity; or
  • loss of anticipated saving; or
  • loss or corruption of data or information; or
  • special, indirect or consequential damage, suffered by the other party that arises under or in connection with this agreement.

Without prejudice to the above, the Supplier’s total liability arising under or in connection with this agreement, whether arising in contract, tort (including negligence) or restitution, or for breach of statutory duty or misrepresentation, or otherwise, shall in all circumstances be limited to 100% of the charges for the goods ordered.
